Terms and conditions

Article 1. Definitions.
- The artwork or 'the work': The work made by STEIL studio as presented on this website and/or made on commission.
- Commissions/Work on commission: The artwork made on commission, and according to a pre-agreed agreement, for client and/or company/organisation.
- STEIL studio and/or the artist: Lisette van Maurik.
- Client: The natural person and/or legal entity with whom STEIL studio has entered into an agreement (for the delivery of a custom-made artwork and/or) for a purchase of an artwork.
- Agreement: Every agreement entered into between STEIL studio and the client, every amendment or supplement thereto, all (legal) acts in preparation and in execution of that agreement.
- Terms and conditions: STEIL studio's general terms and conditions as set out here.

Article 3. Applicability.
- These general terms and conditions apply to every offer made by STEIL studio and to every agreement and/or assignment (at a distance) and orders concluded between STEIL studio and client.
- Before concluding an Agreement (at a distance), the client and/or principal will be provided with these general terms and conditions. It is the responsibility of the client and/or customer to read them, before the purchase/order confirmation.

Article 4. The work.
Work that can be carried out by STEIL studio includes:
- design and production of (textile) works of art
- the sale of its own works of art and related items
- commissioned design and manufacture of a (custom-made) work of art
- to lend the works of art on the basis of the related agreement and conditions as described here and/or mutually agreed upon.

Article 5. Performance of work.
- STEIL studio will always go to great lengths to complete each work of art (and each commission) properly/to the client's satisfaction.
- STEIL studio reserves the right to refuse to sell a work of art, and/or perform work for the client and/or principal, without giving reasons.
- STEIL studio is entitled to have the execution of certain work (partially) carried out for third parties. (framing)

Article 6. The offer.
- All artworks are unique, in-house designs by STEIL studio/Lisette van Maurik.
- Each artwork is original and unique. Each design is made one-off. 
- Each artwork has its own unique number. This number, including Lisette van Maurik's signature, are on the back of the artwork and correspond to the
attached certificate of authenticity.
- Each artwork comes with a certificate of authenticity. This certificate features a photo and the correct information about the artwork in question. It has a unique number and any serial number and the signature of Lisette van Maurik. This certificate matches the information and signature on the back of the artwork.
- STEIL studio makes every effort to provide a complete and accurate description of the artwork. This description is detailed, provided with specifications and includes multiple images of the work.

All images are truthful but STEIL studio can never guarantee that the colours displayed will exactly match the real colours of the artwork.

Article 7. Prices.
- All prices quoted include 9% VAT. Prices in euros.
- All sales through the website must be paid in advance.
- Delivery costs, and any import tax, are not included in the quoted price. The amount of the delivery costs will be communicated, in advance, during the order of the artwork in question. STEIL studio is not responsible for (the legislation) and costs of any import tax.

Article 8. Committees/commissioned work.
- STEIL studio welcomes commission requests from anyone interested in a custom-made artwork. Requesting information or obtaining a quote on commissioned work is entirely without obligation.
- Quotations are non-binding and valid for 2 months. Quoted rates in the quotation do not automatically apply to future assignments.
- If the client and STEIL studio have come to an agreement, the quotation will be converted into an order confirmation stating the agreed price, the content of the assignment and the delivery period.
- Should there be a desire for the specified order by the client for multiple diagrams or designs to be produced (beforehand), this work will be charged separately.
- Designs and drafts are only intended to give an impression of the, yet to be delivered, artwork. All diagrams and designs also remain both material and intellectual property of STEIL studio.
- After both the client and STEIL studio have signed the agreement and the assignment, as agreed in the assignment confirmation, has been paid in advance, STEIL studio will carry out the assignment and strive to achieve a result acceptable to the client. If necessary, STEIL studio will keep the client informed of the progress of the work.
- Changes to the assignment by the client that cause additional work for STEIL studio will have to be paid by the client to STEIL studio in accordance with the rate agreed in the agreement.
- The deadline specified by STEIL studio for the completion of the artwork is indicative in nature unless the nature or content of the agreement indicates otherwise.

Article 9. Payment.
- Payment in the webshop is made directly via the online payment system. Once the payment is complete, the order will be processed. STEIL studio will always contact the customer via e-mail prior to delivery.
- For commission work or other commissioned work, a down payment applies, according to an agreed percentage as agreed in the order confirmation. (see article 8)
- Invoices must be paid within 14 days of the invoice date, unless other arrangements have been made in writing or the invoice states a different payment term.
- Payments are made, without any recourse to suspension or set-off, by transferring the amount due to the bank account number provided by STEIL studio. Or by paying the amount due by means of a payment request, if the client and/or principal does not reside in the Netherlands or Belgium.
- If an agreed payment is not paid within the agreed period, then the client and/or company/organisation is legally, without
that any reminder is required, is in default. From that moment, STEIL studio is entitled to suspend its obligations until the client and/or company/organisation has fulfilled its payment obligations.
- If the client and/or company/organisation remains in default, STEIL studio will proceed to collection. The costs related to such collection shall be borne by the client and/or company/organisation.

Article 10. Delivery.
- STEIL studio will always take the utmost care when receiving and delivering orders.
- Package deliveries (outside the Netherlands) are always in consultation with the customer and/or company/organisation.
- The delivery periods stated by STEIL studio are indicative. Exceeding this indicative delivery period does not entitle the client to compensation.
- STEIL studio is not liable for damages suffered after transfer of the artwork to the client or by someone appointed by the artist for the transfer and/or delivery (transport company).

Article 11. Right of withdrawal.
- The client has the right to revoke the agreement within a period of 14 days, without giving reasons. The revocation period expires 14 days after the day of receipt of the artwork.
- During the reflection period, the client will treat the artwork and its packaging with care. If the client wishes to exercise its right of withdrawal, the artwork will be returned to STEIL studio with all delivered accessories and in its original condition and packaging, in accordance with the agreements made between the two.
- The right of revocation only applies if the customer has informed STEIL studio, within this 14-day period, of your decision to revoke your agreement by e-mail (lisette@steil.studio).
- If the client exercises his right of withdrawal, the cost of the return shipment will be borne by the client. In case of a payment made, STEIL studio will refund this amount to the client within 14 days, after receiving the return.

Article 12. Exclusion of right of withdrawal
- Works of art made on commission as described in Article 8 do not have a right of withdrawal.
- Exclusion of the right of withdrawal also applies to:
- artworks created by STEIL studio with specifications supplied by the client and/or company/organisation.
- Artworks that are clearly of a personal nature.
- whose delivery has started with the express consent of the client before the 14-day cooling-off period has expired.

Article 13. Force majeure.
- Force majeure shall include any illness of the artist, as well as delay of suppliers/delivery and/or delay due to any unsuitability of the material.
- If the artist fails imputably to fulfil the obligations (force majeure), the artist is not liable and the fulfilment of those obligations is suspended for the duration of the force majeure condition.
- If the force majeure condition has lasted 90 (ninety) days, both parties have the right to terminate the contract in whole or in part, to the extent justified by the force majeure condition.

Article 14. Intellectual property rights
- All STEIL studio intellectual property rights and copyrights belong exclusively to STEIL studio and are not transferred to the client and/or company/organisation. This means that nothing may be reproduced, modified or made public without STEIL studio's prior written consent.
- All artworks are displayed on STEIL studio's website and related social media pages. These are managed and owned by STEIL studio.
- When STEIL studio has entered into a commission/work-in-commission agreement with the client and/or company/organisation and a personal portrait is involved, portrait rights apply. (This means that portrait rights take precedence over copyright and STEIL studio will never publish or exhibit this work without written permission).

Article 15. Final provisions.
- Deviations from these General Terms and Conditions or further special conditions shall only apply if they have been explicitly agreed in writing with STEIL studio.
- In case of conflict between these General Terms and Conditions and further agreed special conditions, the special ones shall prevail.
- All work as well as deliveries are carried out under the application of Dutch law.
- The Dutch text of these Terms and Conditions prevails over any translation.
- Disputes between the parties, including those considered as such by only one party, will be resolved as far as possible through proper consultation.
